Overview

This Customer Agreement is entered into between CO2 Masters LLC ("CO2 Masters," "we," "us," or "our") and the individual or company ("Client" or "you") engaging with our website, placing an order, or renting equipment or services from CO2 Masters LLC. This Agreement covers all aspects of your relationship with CO2 Masters, including website use, purchases, and rentals of all compressed gas products — including but not limited to carbon dioxide (CO2), liquid CO2, nitrogen, helium, propane, argon, and other compressed or liquefied gases — as well as all associated equipment, deliveries, and services. By visiting our site, submitting an order, or engaging in any rental or service, you agree to be bound by the most current version of this Agreement. If you do not agree to these terms, you may not access the website or use any services. This Agreement becomes legally binding at the time you complete and submit an order or application form, regardless of signature date. Acceptance & Validity

This Agreement includes all terms and conditions set forth herein, including any credit authorization, invoice, or waiver form attached. "Client" refers to the individual or company engaging with CO2 Masters and any other individual or entity for whom CO2 Masters is directed to bill. By submitting an order or engaging in any rental with CO2 Masters, the Client agrees to be bound by the most current version of this Agreement. This Agreement becomes legally binding at the time the Client completes and submits the form, regardless of signature date, and auto-renews for each subsequent order or service request unless superseded in writing.

Digital Signature Acknowledgment

The Client acknowledges and agrees that their digital signature submitted as part of the CO2 Masters customer application form shall serve as their legally binding signature for this Customer Agreement. This includes any typed, drawn, or otherwise electronically provided signature associated with their submitted customer application.

Order Responsibility

By submitting an order form, the Client acknowledges full responsibility for that order. Any order submitted—whether accidental or intentional—will be processed, fulfilled, and billed according to the terms herein. Clients are encouraged to carefully review all submission details prior to submitting an order, as all orders are treated as contractual commitments once received.

Online Store & Eligibility

By agreeing to these terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority and have given us your consent to allow any of your minor dependents to use this site. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms, viruses, or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your Services.

General Conditions

We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information) may be transferred unencrypted and involve (a) transmissions over various networks and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission by us. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

Accuracy, Completeness & Timeliness of Information

We are not responsible if information made available on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. Any reliance on the material on this site is at your own risk. This site may contain certain historical information provided for your reference only. We reserve the right to modify the contents of this site at any time but have no obligation to update any information on our site.

Modifications to the Service & Prices

Prices for our products and services are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

Products & Services

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy. We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region, or jurisdiction. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

Billing & Account Information

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. You agree to provide current, complete, and accurate purchase and account information for all purchases made. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed. For orders over $1,500.00 that do not pass all layers of payment verification, we may request a photo I.D. with current address. If I.D. is not provided, we reserve the right to refuse the order. Delayed or Retroactive Invoicing: The Client is responsible for all charges associated with services rendered, regardless of when an invoice is issued. In the event that a billing delay occurs due to technical errors, software or platform issues, vendor system failures, or administrative oversight, the Client remains fully liable for the outstanding balance. Invoices issued after the date of service — whether days, weeks, or months later — are valid and payable upon receipt. CO2 Masters reserves the right to collect any past-due amounts at any time, and the Client waives any defense based solely on the timing of invoice delivery.

Estimates

Any quote or estimate reflects pricing based on information provided by the Client. Any additional equipment, services, or labor not listed but provided by CO2 Masters will be billed at prevailing rates. Unless otherwise noted, pricing excludes taxes, shipping, and handling. Tax-exempt clients must provide a valid exemption certificate prior to billing. If not provided, applicable sales tax will be charged.

Equipment Rates & Cylinder Billing

CO2 Masters compressed gas cylinders and equipment — including CO2, liquid CO2, nitrogen, helium, propane, argon, and all other gases supplied by CO2 Masters — are available for rent and are subject to rental fees based on daily, weekly, or monthly rates, with a minimum rental period of one calendar day. Any additional usage beyond the agreed rental period will be charged at CO2 Masters' standard rates. Late returns of CO2 Masters-owned cylinders or gas supply equipment incur a fee of $150/day for each compressed cylinder and $75/day for accessories. These rates are subject to change without notice. The Client authorizes CO2 Masters to charge the payment method on file for all applicable late fees. Late returns will also result in continued rental charges at the prevailing daily rate until equipment is returned. Customer-Owned Cylinders: If the Client supplies their own cylinders for filling, delivery, or service, the Client will be billed for all applicable fees including but not limited to: filling/refill fees, handling fees, inspection fees, maintenance fees, and any regulatory compliance costs associated with servicing the Client's equipment. CO2 Masters reserves the right to decline service on customer-owned cylinders that do not meet current DOT, safety, or inspection standards. Any costs incurred to bring customer-owned cylinders into compliance are the sole responsibility of the Client.

Insurance & Liability

Insurance coverage for the use and transportation of all compressed gas cylinders, liquid gas containers, and associated equipment — including CO2, liquid CO2, nitrogen, helium, propane, argon, and any other gas product supplied by CO2 Masters — is the sole responsibility of the Client. CO2 Masters is not liable for any damage, injury, loss, or claims arising from the handling, storage, or use of its equipment or gas products. Clients must have a valid Certificate of Insurance (COI) naming CO2 Masters LLC as an additional insured for the full rental period. If the Client does not provide valid insurance, they must use a third-party insurer such as EventHelper.com to obtain one-time event coverage. Without such coverage, the Client agrees to release CO2 Masters LLC from any and all liability.

Safety Requirements & Usage Conditions

Client agrees to follow all OSHA, NFPA, and local regulatory guidelines regarding the safe handling, transportation, and storage of all compressed gas cylinders and liquefied gas products supplied by CO2 Masters, including but not limited to carbon dioxide (CO2), liquid CO2, nitrogen, helium, propane, argon, and any other compressed or liquefied gas. This includes, but is not limited to: • Use of appropriate Personal Protective Equipment (PPE) including protective gloves, safety eyewear, and steel-toe shoes when handling compressed gas cylinders or gas supply equipment. Where exposure to refrigerated liquid CO2, cryogenic nitrogen, or other cryogenic vapors or liquids is possible, cryogenic-rated hand protection and appropriate eye and face protection are additionally required. • Use of certified gas monitoring systems in enclosed or partially enclosed areas to detect potential oxygen displacement, elevated CO2 concentration, or accumulation of any gas supplied by CO2 Masters. • Ensuring all personnel involved in transport, storage, or use of any compressed or liquefied gas cylinder or supply system are trained, qualified, and supervised. Personnel must be trained on safe handling and storage procedures, associated atmospheric and cryogenic hazards, warning signs of gas accumulation or oxygen depletion, and the proper emergency response when alarms, leaks, or hazardous conditions occur. • Confirming that all staff assigned by the Client to work with any compressed or liquefied gas product are properly outfitted with the required gas monitoring equipment and PPE appropriate to the specific gas in use. • Proper ventilation in any enclosed space where compressed gas, liquid CO2, nitrogen, propane, or any other gas product is stored or used, meeting a minimum of 1.0 CFM per square foot for the room. Ventilation must be exhausted directly outdoors and must not create hazards to the building, personnel, or environment. • Installation of gas detection systems set to alarm at concentrations exceeding 0.5% CO2 or below 19.5% oxygen, with both audible and visual alerts. For indoor liquid CO2 and other indoor gas applications, detection must be present in the area where the supply container is located and, if different, also in the area of use. • Calibration and maintenance of all gas detectors per manufacturer instructions at all times during the supply period. • Installation of emergency shutoff systems capable of fully isolating the gas or liquid supply, positioned in proximity to the operator or primary use area, and appropriate vent piping directed outdoors for all indoor stationary tanks and liquid supply containers. • Secure storage of all cylinders and liquid gas containers in an upright position and away from heat, sunlight, or electrical sources, in compliance with the requirements applicable to each specific gas product. • Transport using proper equipment and approved lifting methods appropriate to the size, weight, and type of gas cylinder or container. Use of any CO2 Masters gas product outside of approved industrial, food-grade, medical, or entertainment purposes is strictly prohibited. CO2 Masters shall not be held liable for any consequences arising from unauthorized or improper use of any gas product. Failure to follow safety protocols constitutes a breach of contract and grounds for immediate service suspension or termination. In the event of gas leaks, suspected accumulation, or any other hazardous condition, Client must notify CO2 Masters and emergency services immediately. Affected areas must be evacuated and all local safety protocols followed. Where liquid CO2 or refrigerated liquid CO2 is in use, additional requirements apply as set forth in the Liquid CO2 / Refrigerated Liquid Safety Requirements section of this Agreement.

Liquid CO2 / Refrigerated Liquid Safety Requirements

Where CO2 Masters supplies liquid carbon dioxide, refrigerated liquid CO2, or any product delivered in bulk, dewars, micro-bulk containers, or high-pressure liquid cylinders, the following requirements apply in addition to the general Safety Requirements set forth above. These requirements are conditions of supply. Failure to satisfy or maintain them in full constitutes a breach of this Agreement and grounds for immediate service refusal, suspension, or termination. Outdoor Storage – Preferred Supply Mode: Outdoor storage is the preferred supply mode for all liquid CO2 containers. If the Client stores or uses liquid CO2 or any bulk refrigerated CO2 supply indoors, all indoor ventilation, CO2 monitoring, emergency shutoff, venting, signage, and related safety requirements set forth in this section must be fully satisfied before supply commences and maintained continuously throughout the supply period. CO2 Detection – Indoor Requirements: For all indoor liquid CO2 applications, the Client must install and maintain a permanently mounted CO2 detection system. The detector must be installed in the area where the supply container is located. If the area of use is separate from the area of supply container storage, a detection system must also be present in the area of use. CO2 monitors must alarm at concentrations exceeding 0.5% by volume. All alarms must provide both audible and visual notification. Where practicable, alarm notification must also be present at or near the entrance to any room in which a supply container is located. Detection systems must be maintained, tested, and calibrated per manufacturer instructions at all times during the supply period. Emergency Shutoff: For all liquid CO2 applications, the Client must install an emergency shutoff switch or valve capable of fully isolating the liquid CO2 product supply. The emergency shutoff must be installed in proximity to the operator or primary use area and must remain accessible and operable at all times during use. The Client is responsible for ensuring the emergency shutoff is functional, tested prior to use, and known to all personnel working with the system. Vent Piping, Overpressure Relief, and Discharge Routing: For indoor stationary supply containers and for systems filled onsite, the Client must provide proper vent piping for overpressure relief. All vented gas and relief valve discharge must be routed outdoors to a safe location. Routing must be configured to avoid creating hazards to the building structure, personnel, doors, windows, air intakes, and public areas. The Client is solely responsible for the proper sizing, configuration, and safe routing of all vent and relief piping. CO2 Masters assumes no responsibility for vent piping design, sizing, or installation. Fill and Vent Piping Plan Review: Before commencement of service or installation of any liquid CO2 supply system, the Client must review the fill and vent piping plan with CO2 Masters or its authorized representative to confirm it is properly sized, configured, and safely routed. Service may be withheld until this review is completed to CO2 Masters' satisfaction. Ventilation – Indoor Use: For all indoor storage or use of liquid CO2, the Client must provide and maintain mechanical ventilation exhausted directly to the outdoors. Ventilation must maintain a minimum of 1.0 cubic feet per minute (CFM) per square foot of room area. Ventilation systems must be configured so that air discharge does not create hazards to the building, personnel, or the surrounding environment. Personnel Training: The Client must ensure all personnel involved in the handling, use, or supervision of liquid carbon dioxide or refrigerated liquid CO2 are fully trained and supervised regarding: (a) the safe use, handling, and storage of refrigerated liquid CO2; (b) associated atmospheric and cryogenic hazards, including oxygen depletion, asphyxiation risk, and cryogenic contact injury; (c) the warning signs of elevated CO2 concentration; and (d) the proper response when alarms, leaks, or other hazardous conditions occur, including evacuation procedures and emergency notification. Training must be documented and records made available to CO2 Masters upon request. Warning Signage: The Client must post conspicuous warning signs at all entrances to any building, room, or enclosure where a liquid CO2 supply container is located. Signage must communicate, at minimum, the presence of carbon dioxide gas, the risk of asphyxiation in the event of leakage, the requirement for adequate ventilation, and any applicable restricted access or emergency procedures required by the authority having jurisdiction. Site Access: The Client must allow CO2 Masters or its authorized representative reasonable access to the installation site upon request to review the installation, verify that required safety controls are in place and functioning, confirm delivery access conditions, and assess overall compliance with this Agreement. CO2 Masters reserves the right to withhold or suspend service if access is denied or if a site inspection reveals that safety controls are missing, non-functional, or otherwise not in compliance with applicable requirements. Written Safety Acknowledgment and Checklist: Before CO2 Masters supplies liquid carbon dioxide, the Client may be required to execute a separate liquid CO2 safety acknowledgment form, work practices agreement, or installation safety checklist, as determined by CO2 Masters at its sole discretion. Execution of all required documents and satisfaction of all applicable safety requirements are conditions of supply. CO2 Masters reserves the right to withhold product or service until all required documentation has been received and accepted. Service Refusal and Suspension Rights: CO2 Masters reserves the right, at its sole discretion and without liability to the Client, to refuse, delay, suspend, or permanently discontinue any delivery, fill, or service if: required safety controls are missing, incomplete, or not functioning; unsafe conditions exist at the Client's site; the Client has not satisfied applicable permitting or regulatory requirements; or access for inspection has been denied. The exercise of this right does not relieve the Client of any payment obligations for services already performed or equipment already delivered.

Special Effects (FX) Use – Client Liability

Cylinders, liquid CO2 containers, nitrogen tanks, helium tanks, refrigerated liquid CO2 supply systems, and any other compressed or liquefied gas product delivered or supplied for special effects (FX) purposes — including but not limited to CO2 jets, cryo cannons, cryo fog, low-lying fog, atmospheric effects, confetti cannons, helium balloon inflation, and similar entertainment or production applications — are used entirely at the Client's own risk. The Client assumes full and sole liability for any and all incidents, injuries, property damage, crowd disturbances, or other consequences arising from the deployment of any compressed gas cylinder, liquefied gas container, or gas supply system in a special effects or entertainment capacity. This includes, but is not limited to: • Personal injury to operators, performers, staff, or audience members, including injuries from cryogenic contact, cold vapor exposure, or oxygen displacement • Property damage to venues, equipment, or third-party assets • Incidents resulting from improper setup, operator error, equipment malfunction, or inadequate safety controls during an FX performance • Any claims brought by venue owners, promoters, attendees, first responders, or regulatory agencies in connection with the special effects use CO2 Masters provides equipment and gas supply only. CO2 Masters does not supervise, direct, or control the deployment of cylinders or liquid CO2 for special effects purposes and is not present on-site unless separately contracted in writing. CO2 Masters shall not be held liable under any circumstances for any incident, injury, claim, fine, penalty, or damage arising from the use of its equipment or gas supply in a special effects context. Where liquid CO2 or refrigerated liquid CO2 is used in FX applications, all requirements set forth in the Liquid CO2 / Refrigerated Liquid Safety Requirements section of this Agreement apply in full. The Client acknowledges that liquid CO2 used in atmospheric or cryo effects applications presents additional atmospheric, asphyxiation, and cryogenic hazards beyond those of standard compressed gas cylinders, and the Client assumes all additional risk and liability associated with such use. The Client is solely responsible for: ensuring all FX operators are trained, qualified, and supervised in the safe use of liquid CO2 and refrigerated liquid CO2 in entertainment applications; securing all required permits, venue approvals, fire code clearances, and regulatory authorizations prior to the event; maintaining all required safety controls, including CO2 monitoring, emergency shutoff, and ventilation, during FX operations; ensuring public and personnel safety throughout the event; and complying with all applicable fire, safety, and crowd management regulations. CO2 Masters shall bear no liability whatsoever for any failure by the Client to satisfy any of these obligations.

Equipment Handling & Malfunction Disclaimer

All handling and setup of compressed gas cylinders, liquid gas containers, regulators, and associated accessories — including CO2, nitrogen, helium, propane, and all other gas products supplied by CO2 Masters — is the Client's sole responsibility. CO2 Masters does not provide on-site staff or technicians unless otherwise agreed upon in writing. The Client agrees to use all equipment properly and in accordance with industry standards, applicable safety codes, and all instructions provided by CO2 Masters. Equipment must not be altered or serviced by the Client or any third party. CO2 Masters does not own or manufacture gas cylinders; any malfunction is the responsibility of the distributing vendor.

Delivery Liability – Third Party Services

CO2 Masters LLC may coordinate logistics and delivery of compressed gas cylinders and liquefied gas products — including CO2, nitrogen, helium, propane, and all other gases — through third-party carriers or freight providers. CO2 Masters does not directly perform transportation services unless otherwise agreed upon in writing. As such: • Any damage, delay, or loss occurring during transit is the responsibility of the transportation vendor performing the physical delivery. • The Client remains responsible for selecting secure, reputable vendors when coordinating their own delivery or return of equipment. • If the Client opts to use a third-party carrier not arranged by CO2 Masters, all liability for damages, loss, or mishandling rests solely with the Client and the chosen delivery provider. • CO2 Masters is not responsible for delays, improper handling, or accidents caused by third-party logistics vendors. • Client agrees to file any applicable claims directly with the carrier used and indemnifies CO2 Masters from all legal or financial responsibility arising from shipping-related issues.

Damage, Theft, or Loss

The Client is responsible for all rented equipment — including compressed gas cylinders, liquid CO2 containers, nitrogen tanks, helium tanks, propane cylinders, regulators, and all other gas supply equipment and accessories supplied by CO2 Masters — from the time of delivery until each item is physically returned to and accepted by CO2 Masters. All cylinders and equipment must be returned in the same condition as delivered, normal wear excepted. Any equipment that is not returned, is lost, or is stolen will be billed to the Client at full replacement value. In addition, the Client will be charged a loss-of-use fee for each unreturned cylinder or piece of equipment, reflecting the revenue CO2 Masters loses while the asset is out of service and unavailable for re-rental. Loss-of-use charges accrue at the prevailing daily rental rate and continue until the equipment is either returned or the replacement value has been paid in full. If equipment is damaged but repairable, the Client is responsible for the full cost of repairs plus any applicable rental fees and loss-of-use charges incurred during the repair period. This applies regardless of whether damage occurred during use, storage, or Client-arranged transportation, or was caused by third-party carriers not under direct employment of CO2 Masters LLC. The Client authorizes CO2 Masters to charge all replacement, loss-of-use, and repair fees to the payment method on file without further notice.

Equipment Failure

All equipment is tested and verified for performance prior to delivery. CO2 Masters makes no guarantee that equipment will be free of defects beyond normal industry standards. In the event of malfunction, the Client must immediately notify CO2 Masters. CO2 Masters will make a reasonable effort to remedy the issue; however, CO2 Masters shall not be liable for any consequential losses due to equipment failure.

Payment Terms & Deposits

A deposit of at least 50% is required to secure equipment for an event. Final balance is due before delivery or pickup. For orders placed within 30 days of the event, full payment is due immediately. All payments are non-refundable within 30 days of the event date. At management's discretion, a credit may be offered for use within 365 days. Any deposit collected from the Client that is not explicitly requested for refund in writing within 30 days of delivery will automatically be converted into company credit. This credit will be applied toward future orders or used to pay down any open invoices. Company credit expires after 12 months from date of conversion. Standard security deposits: $200 per cylinder. Deposits may be waived for active membership accounts.

Changes & Cancellation

Any changes to the event date, location, or rental requirements must be submitted in writing no less than 14 business days prior to the event. Cancellations made within 30 days of the event are non-refundable. Additional fees may apply if custom orders or materials have been prepared. All cancellations must be in writing.

Permits & Regulations

It is the Client's sole responsibility to consult with all applicable local, state, and federal agencies and to secure all required permits, approvals, fire marshal clearances, installation approvals, occupancy approvals, and any other authorizations required by the authority having jurisdiction ("AHJ") before delivery or installation of any CO2 Masters product or service commences. The Client must comply with all applicable laws, codes, and regulations, including but not limited to applicable fire codes, building codes, occupational health and safety regulations, and the most current edition of NFPA 55 (Standard for the Storage, Use, and Handling of Compressed Gases and Cryogenic Fluids in Portable and Stationary Containers, Cylinders, and Tanks), as it applies to compressed gas cylinders and liquid carbon dioxide installations and use. Where applicable, installations or storage quantities exceeding 6,000 cubic feet of compressed or liquefied gas may require an operational permit from the authority having jurisdiction. The Client is solely responsible for determining whether this threshold applies to their installation and for obtaining all required operational permits before service commences. Regulatory compliance is a condition of supply. CO2 Masters may assist upon request but assumes no responsibility and accepts no liability for the Client's failure to obtain required permits or approvals, for regulatory violations, for denied entry, or for any consequences arising from non-compliance with applicable laws and codes. CO2 Masters reserves the right to refuse, delay, or suspend service if the Client cannot demonstrate compliance with applicable permitting and regulatory requirements.

Optional Tools

We may provide you with access to third-party tools over which we neither monitor nor have any control or input. You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of optional tools offered through the site is entirely at your own risk and discretion. You should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

User Comments, Feedback & Submissions

If you send creative ideas, suggestions, proposals, plans, or other materials to us, whether online, by email, by postal mail, or otherwise, you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any comments that you forward to us. We are under no obligation to maintain any comments in confidence, pay compensation for any comments, or respond to any comments. You agree that your comments will not violate any right of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You are solely responsible for any comments you make and their accuracy.

Errors, Inaccuracies & Omissions

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

Prohibited Uses

In addition to other prohibitions as set forth in this Agreement, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

Disclaimer of Warranties; Limitation of Liability

We do not guarantee, represent, or warrant that your use of our service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided "as is" and "as available" for your use, without any representation, warranties, or conditions of any kind, either express or implied. In no case shall CO2 Masters LLC, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the service or any products procured using the service. CO2 Masters shall not be liable for any indirect, incidental, punitive, or consequential damages, including lost profits, missed opportunities, or event disruptions. Any claim or cause of action arising out of this Agreement or related to the services provided must be brought within three (3) months of the event giving rise to the claim. Failure to bring a timely claim will result in a complete waiver of all rights to legal recourse. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification & Hold Harmless

You agree to indemnify, defend, and hold harmless CO2 Masters LLC and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: • Your breach of this Agreement or the documents they incorporate by reference • Your violation of any law or the rights of a third party • The use, misuse, transport, installation, or storage of rented equipment or gases • Any injury, property damage, environmental harm, or third-party liability arising from your engagement with CO2 Masters products or services

Severability

In the event that any provision of this Agreement is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from this Agreement. Such determination shall not affect the validity and enforceability of any other remaining provisions.

Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. This Agreement is effective unless and until terminated by either you or us. You may terminate this Agreement at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of this Agreement, we may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination.

Force Majeure

CO2 Masters shall not be held responsible for delays or failure to perform due to circumstances beyond its reasonable control, including but not limited to: acts of God, fire, flood, earthquake, hurricane, epidemic or pandemic, war, terrorism, labor disputes, transportation delays, equipment shortages, supplier defaults, or governmental regulations. If such an event occurs, CO2 Masters may, at its discretion, delay performance or terminate this Agreement without penalty or liability.

Weather Policy

CO2 Masters performs rain or shine. In the event of inclement weather, the Client agrees to proceed with full payment of the contract. CO2 Masters guarantees performance unless conditions are deemed unsafe by CO2 Masters or emergency officials.

Entire Agreement

This Customer Agreement constitutes the entire agreement and understanding between the Client and CO2 Masters LLC and supersedes all prior and contemporaneous agreements, understandings, negotiations, representations, warranties, and proposals — whether oral or written — between the parties, including but not limited to any prior rental agreements, service agreements, purchase orders, quotes, email correspondence, verbal commitments, or any other document or communication that predates this Agreement. No prior agreement, course of dealing, or trade practice shall modify, supplement, or override the terms of this Agreement. Together with any policies or operating rules posted on this site, this Agreement governs all aspects of the Client's relationship with CO2 Masters, including website use, purchases, and rentals of all gas products — including CO2, liquid CO2, nitrogen, helium, propane, and all other gases supplied by CO2 Masters — deliveries, special effects use, and all associated services. The failure of CO2 Masters to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any ambiguities in the interpretation of this Agreement shall not be construed against the drafting party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia. Any legal disputes arising from this Agreement shall be resolved in the courts of Gwinnett County, Georgia.

Changes to This Agreement

We reserve the right, at our sole discretion, to update, change, or replace any part of this Customer Agreement by posting updates and changes to our website. You can review the most current version at any time at co2masters.com/customer-agreement. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes constitutes acceptance of those changes.

Final Acknowledgement

By submitting any order, application, or rental request to CO2 Masters, Client acknowledges they have read, understood, and agreed to all terms outlined in this Customer Agreement and assume full responsibility for all aspects of the rental, purchase, and use of CO2 Masters products and services.
